Invest in Morocco: three checks before buying
A business investment is not sound simply because a listing promises growth. Three checks help distinguish an interesting lead from a transaction ready for closer review. They do not replace transaction-specific advice.
1. Revenue that can be explained and checked
Ask which periods published sales cover and what records support them. Compare revenue, margin, operating costs, receivables and cash flow. Identify one-off sales and seasonal changes. A business can have high sales while producing little cash after rent, wages, inventory and maintenance.
Check concentration as well: how much business depends on major customers or suppliers? If a key relationship changes after the sale, historical results may not describe future trading. Record the answers received and the evidence still outstanding.
2. Operations that can transfer
Identify the assets, contracts, rights and people needed to operate. Ask what the present owner does each week and how those duties would be covered after a transfer. Documented procedures and a prepared team make assessment easier, although they do not guarantee success. Ask suitable advisers to review transfer conditions.
For a franchise, review the network’s operating obligations and the outlet agreement. For a business undertaking, clarify exactly which elements are proposed and what rights attach to the premises. The answer depends on the specific transaction.
3. A price and funding plan tested against risk
A published range cannot establish value on its own. Prepare several scenarios for sales, costs and investment, including a cautious case. Allow for your contribution, working capital and any repayments. Have relevant advisers challenge assumptions and review the supporting documents before committing.
The question is not “is this sector always profitable?” but “do these records, people and terms fit my project?” Compare several opportunities using the same checklist and keep unknowns visible.
